These Terms of Service, Licensing and Fair Usage Terms (“Terms”) govern access to and use of Report 360, including the website, dashboard, Tally/ERP connector, data ingestion, analytics, AI-assisted explanations, reports, APIs, support services, documentation, and related features.

By creating an account, starting a trial, installing the connector, uploading or syncing data, making payment, or using the Service, the customer agrees to these Terms. If the customer is using the Service on behalf of a business, firm, company, LLP, partnership, proprietorship, trust, society, or other entity, the person accepting these Terms confirms that they are authorised to bind that entity.

For these Terms, “Report 360”, “we”, “us”, or “our” refers to Propip Data Science Private Limited. “Customer”, “you”, or “your” refers to the business or person using the Service.

1. Nature of the Service

Report 360 is a reporting, analytics, dashboarding, reconciliation, data ingestion, and decision-support platform. It may connect with Tally, ERP systems, accounting data, business data, and other customer-approved data sources.

Report 360 is not an accounting firm, audit firm, tax consultant, legal advisor, investment advisor, statutory certifier, or government filing authority. The Service helps customers analyse and understand data, but it does not replace professional judgement, audit procedures, tax review, legal advice, statutory compliance review, or management approval.

Any dashboard, alert, AI explanation, comparison, reconciliation, exception, KPI, or report generated by Report 360 is for business assistance only. Customers must independently verify all important outputs before making accounting, tax, legal, financial, operational, filing, investment, or compliance decisions.

2. Subscription License

Subject to payment and compliance with these Terms, Report 360 grants the customer a limited, non-exclusive, non-transferable, revocable, subscription-based right to access and use the Service for the licensed business workspace.

3. Trial Access

Report 360 may offer free trials, demo access, pilot access, sandbox access, or limited evaluation access.

Trial access is provided “as is” and may be modified, restricted, suspended, or withdrawn at any time. Trial data may be deleted after the trial period unless the customer converts to a paid plan or we agree otherwise.

We may refuse trial access, ask for verification, limit repeated trials, or block misuse of free trials.

4. Account and User Responsibility

The customer is responsible for:

We are not responsible for loss caused by unauthorised access arising from weak passwords, shared credentials, compromised devices, incorrect user permissions, customer-side malware, insecure networks, or customer-side operational negligence.

5. Customer Data and Source Data Accuracy

The customer remains responsible for the correctness, completeness, quality, legality, and reliability of all data uploaded, synced, entered, imported, processed, or connected to Report 360.

Report 360 outputs depend on the source data provided by the customer. If source data is incomplete, duplicated, delayed, wrongly mapped, altered, corrupted, misclassified, or inconsistent, the resulting dashboards, KPIs, reconciliations, alerts, AI explanations, and reports may also be incomplete or inaccurate.

The customer must maintain its own books of account, statutory records, source documents, backups, audit trails, and compliance evidence outside Report 360. Report 360 is not a substitute for statutory books, accounting software, source documents, government portals, bank statements, signed confirmations, audit working papers, or professional review.

6. Tally, ERP and Third-Party Integrations

Report 360 may connect with Tally, ERP systems, APIs, files, databases, Google/Firebase services, cloud infrastructure, AI providers, payment providers, email/SMS/WhatsApp providers, analytics tools, and other third-party systems.

The customer is responsible for ensuring that it has the right to connect, extract, upload, sync, process, and analyse data from such systems.

Third-party systems may change, fail, restrict access, rate-limit, alter APIs, experience downtime, or produce incorrect data. We are not responsible for failures or inaccuracies caused by third-party systems, customer-side configuration, internet connectivity, device issues, firewall rules, antivirus blocking, ERP changes, connector misconfiguration, or third-party service downtime.

Tally, ERP, cloud, AI, payment gateway, hosting, and other third-party names belong to their respective owners. Use of such names does not imply endorsement unless specifically stated.

7. Fair Usage

Unless a written agreement states otherwise, each licensed PAN or TRN may include:

Fair usage limits are safeguards, not guaranteed entitlements. We may revise fair usage limits as the Service evolves, provided such changes are not intended to unfairly deprive active paid customers of normal usage.

8. AI Features and AI Credits

Report 360 may include AI-assisted explanations, summaries, chat, anomaly comments, dashboard interpretations, draft messages, reconciliation explanations, or other AI-supported features.

AI features are assistive only. AI outputs may be incomplete, outdated, inaccurate, misleading, or unsuitable for a specific business context. Customers must verify AI outputs before relying on them.

Customers must not use AI features to generate unlawful, harmful, defamatory, infringing, misleading, fraudulent, abusive, discriminatory, or privacy-invasive content.

9. Fees, Billing and Taxes

Customers must pay all applicable subscription fees, setup fees, implementation fees, custom dashboard fees, API fees, AI credit charges, top-up charges, overage charges, renewal charges, and taxes as per the selected plan, invoice, order form, quotation, or written agreement.

Customers may renew, upgrade, downgrade, top up, or cancel based on the options available in Report 360 or as agreed in writing.

Custom dashboards, ERP integrations, data models, connectors, reports, automations, and implementation work may require separate scope, timeline, pricing, assumptions, dependencies, and acceptance criteria.

13. Service Availability and Changes

We aim to provide a reliable service, but we do not guarantee uninterrupted, error-free, always-available, or fully secure operation.

The Service may be unavailable or degraded due to maintenance, updates, outages, internet issues, hosting failures, database issues, cyber incidents, third-party provider failures, customer-side problems, force majeure events, or emergency security action.

We may modify, improve, add, remove, replace, restrict, suspend, or discontinue features, models, dashboards, APIs, connectors, limits, layouts, reports, or infrastructure from time to time.

For paid customers, we will try to avoid materially reducing core subscribed functionality without reasonable cause. However, changes may be required for security, legal compliance, performance, cost control, third-party changes, or product improvement.

14. Backups and Data Loss

Report 360 may maintain operational backups, replication, logs, or disaster recovery controls as part of service operations. However, these are not a substitute for the customer’s own backups and statutory records.

The customer must maintain independent backups of source data, accounting data, ERP data, Tally data, statutory filings, reports, documents, and business records.

We are not liable for data loss caused by customer deletion, incorrect configuration, source-system changes, unauthorised customer-side access, third-party failure, force majeure, malware, customer-side device compromise, or events outside our reasonable control.

15. Intellectual Property

Report 360 and its software, dashboards, UI, design, code, database models, analytics logic, connectors, workflows, templates, documentation, brand, logo, content, AI orchestration, data models, and know-how are owned by us or our licensors.

Customers do not acquire ownership of Report 360 software or intellectual property. Customers receive only a limited right to use the Service during the active subscription.

Customer data remains the customer’s data. However, the customer grants Report 360 the right to host, process, transmit, analyse, transform, display, back up, and use customer data as necessary to provide, secure, support, bill, improve, and operate the Service.

We may use aggregated, anonymised, or de-identified usage statistics and performance insights to improve the Service, provided such information does not identify a customer or disclose confidential customer business data.

16. Confidentiality

Each party may receive confidential information from the other party. Confidential information includes business data, financial data, technical information, pricing, credentials, product plans, implementation details, non-public reports, and other information that should reasonably be understood as confidential.

Each party must protect the other party’s confidential information using reasonable safeguards and must not disclose it except as required to provide the Service, comply with law, use approved service providers, enforce rights, or with written permission.

Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed, or lawfully received from a third party.

17. Data Protection and Privacy

Our handling of personal data and business data is described in the Report 360 Privacy Notice.

The customer is responsible for ensuring that it has the required authority, notice, consent, contract, legitimate basis, or legal permission to provide data to Report 360, including employee data, vendor data, customer data, accounting data, GST/tax data, transaction data, and business records.

Where required, the customer must ensure its own privacy notices, employee/vendor/customer disclosures, internal approvals, and data processing arrangements are updated to cover use of Report 360.

18. Security

We use reasonable technical and organisational safeguards designed to protect the Service. However, no software, network, cloud infrastructure, API, AI system, database, or internet-based service can be guaranteed to be fully secure.

The customer must promptly notify us of any suspected unauthorised access, credential compromise, data leak, API key exposure, connector misuse, or security incident relating to its account.

We may take emergency action, including suspending access, disabling users, rotating keys, blocking IPs, or restricting connectors, where we reasonably believe it is necessary to protect the Service, customer data, or other users.

19. Disclaimers

To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis.

We do not warrant that:

20. Limitation of Liability

To the maximum extent permitted by law, Report 360 will not be liable for indirect, incidental, special, punitive, exemplary, or consequential losses, including loss of profit, revenue, goodwill, business opportunity, data, anticipated savings, reputation, statutory benefit, tax position, or business interruption.

To the maximum extent permitted by law, Report 360’s total aggregate liability for all claims relating to the Service will not exceed the fees actually paid by the customer to Report 360 for the affected Service during the three months immediately before the event giving rise to the claim.

This limitation applies whether the claim is based on contract, tort, negligence, strict liability, warranty, statute, indemnity, or any other legal theory.

Nothing in these Terms limits liability that cannot legally be limited.

21. Customer Indemnity

The customer agrees to defend, indemnify, and hold harmless Report 360, its directors, employees, contractors, affiliates, and service providers from claims, losses, penalties, damages, liabilities, costs, and expenses arising from:

We may suspend or terminate access immediately if:

After termination or expiry, the customer may lose access to the Service, dashboards, AI credits, reports, connectors, APIs, and data stored in Report 360. We may retain or delete data according to the Privacy Notice, operational needs, legal obligations, billing records, audit logs, security needs, and backup cycles.

23. Publicity

Unless the customer opts out in writing, Report 360 may identify the customer as a customer using the customer’s name and logo in customer lists, sales decks, website sections, and marketing materials. We will not disclose confidential business data for publicity without permission.

24. Notices

We may provide notices through the website, dashboard, email, invoice, support channel, WhatsApp/business communication, or other reasonable means.

Customers must keep contact details updated. Notices sent to registered contact details will be treated as received.

25. Changes to Terms

We may update these Terms from time to time. Updated Terms will be posted on the website or notified through the Service. Continued use of the Service after the effective date of updated Terms means acceptance of the updated Terms.

Material changes that negatively affect active paid customers will, where practical, be notified in advance.

26. Governing Law and Dispute Resolution

These Terms are governed by the laws of India.

Subject to applicable law, courts at Chennai, Tamil Nadu, India shall have exclusive jurisdiction, unless a separate written agreement specifies another jurisdiction.

Before initiating formal proceedings, both parties should attempt to resolve disputes in good faith through business-level discussions.
